7. Intellectual Property

8. Legal Compliance & Disclosure

  • Clearly disclose the sponsored nature of all content
  • Use platform-native paid partnership tools where available
  • Include #ad or equivalent disclosure prominently
  • Not make false or misleading claims about the product
  • Comply with platform terms of service
  • Comply with applicable data protection laws (GDPR / CCPA / ___)

9. Brand Safety & Conduct

Creator agrees to:

  • Not post content that is discriminatory, offensive, or illegal
  • Not engage in fraudulent activity (fake followers, engagement pods, etc.)
  • Notify Brand immediately of any controversy that may affect the campaign
  • Not make public statements disparaging the Brand during and for ___ months after the campaign

Brand reserves the right to:

  • Request removal of content that violates these terms
  • Terminate the agreement immediately if Creator's conduct damages Brand reputation

10. Confidentiality

  • Both parties agree to keep campaign details, pricing, and strategy confidential
  • Confidentiality period: ___ months after campaign end / Indefinite
  • Exception: Creator may disclose that they worked with the Brand (but not financial terms)

11. Termination

By Brand:

  • For cause (breach): Immediate, with payment for approved deliverables only

By Creator:

  • For cause (breach): Immediate, retaining payment for completed deliverables
  • For convenience: ___ days written notice, with return of advance for undelivered work

Upon termination:

12. Limitation of Liability

  • Neither party's total liability shall exceed the total compensation under this agreement
  • Neither party shall be liable for indirect, consequential, or punitive damages
  • Force majeure: Neither party is liable for failure due to events beyond reasonable control

13. Miscellaneous

  • Governing law: Laws of ___
